Strategenia Terms of Service
Beta version 1.0 — effective October 4, 2026. These terms are written in plain language; if anything is unclear, write to us before committing. The French version prevails.
1. Who we are and what these terms cover
Strategenia is an online service operated by Gestion S.G. (doing business as Strategenia), 1073 rue de Vilmur, Terrebonne, Québec, Canada (“we”). These terms govern access to and use of the application available at https://strategenia.com/suite/ and related services (the “Service”). The public website and the open ROMO standard are covered by separate terms mentioned below.
By creating an account or using the Service, you accept these terms. If you act on behalf of an organization, you represent that you have authority to bind it; “you” then refers to that organization.
2. The Service
Strategenia helps an organization assess its maturity across 13 domains and 63 cells, prioritize its improvements and track their execution over time. The Service produces portraits, priority rankings, action plans, reports and histories from the information you enter, your team’s contributions and, where applicable, data transmitted by your connected tools.
The Service is in beta: its features evolve, some are marked “in preparation”, and interruptions or changes may occur. We describe on the website the capabilities actually available and commit not to promise others.
3. Accounts, organizations and roles
- An account is personal. You are responsible for keeping your credentials confidential and for actions taken with them.
- Each organization has one or more owners, who can invite members with roles (administrator, contributor, reader), change those roles, export data and delete the organization.
- Named invitations are reserved for the invited address and expire after 14 days. You are responsible for the people you invite.
- You must provide accurate information and notify us of any unauthorized use of your account.
4. Founding organizations program (beta)
- The program is open to the first 20 eligible organizations (SMBs and nonprofits), one seat per organization. The first year is free.
- By joining, you commit to using the Service on a real need and sharing honest feedback, positive or negative. That participation stands in for payment during the free period. No public endorsement is required.
- After more than two weeks without use, we reach out before considering reassigning the seat; no seat is withdrawn without a prior conversation.
- No paid subscription ever starts without your explicit acceptance. Continuation terms will be presented to you before the end of your free period. Without your acceptance, you will not be charged.
- You may leave the program at any time, with no termination fee.
The agreement accepted at sign-up (dated version) forms part of these terms.
5. Plans and prices
The plans planned at launch are described on the Pricing page. Each plan will include a free three-month trial. Prices and final plan content will be confirmed at the official launch and will apply only after your acceptance. Subscriptions and any fees of connected third-party services (for example accounting software) remain separate from the Service.
6. Your data and content
- Your data belongs to you. The information you enter, upload or connect, and the portraits, plans and reports derived from it, remain yours.
- You grant us the right to process that data solely to provide the Service (hosting, computation, display, backup, support) — never to sell it or for advertising.
- You are responsible for the content you entrust to us, including personal information about your employees, clients or partners: you must hold the necessary rights and authorizations and limit entry to what is useful for the diagnostic.
- An organization’s owner can export all of its data at any time (JSON format) and delete the organization, which removes its data from our active systems; backup copies then expire according to the cycle described in the privacy policy.
- The processing of personal information is described in our privacy policy, which complements these terms.
7. AI-assisted analysis and the prioritization engine
Some features use an artificial-intelligence model provided by a third party to propose a rating from text (guided interview, meeting notes, documents). These results are proposals that you validate; if the provider is unavailable, no substitute score is applied to your organization. Priority ranking relies on deterministic, transparent rules; it proposes an order of examination, it does not decide for you.
The Service does not provide professional advice (accounting, legal, human resources or regulatory compliance) and is not a certification. Decisions made on the basis of the Service are your responsibility; consult a qualified professional when the situation requires it.
8. Connections to third-party services
You may connect third-party tools (for example accounting software or a CRM) through a bridge or a native connection. In doing so, you authorize Strategenia to read the data the connection describes, within the permissions displayed, and you accept the relevant provider’s terms. You may revoke a connection at any time. We are not responsible for the availability, accuracy or practices of third-party services.
9. Acceptable use
You agree not to: use the Service for unlawful purposes; introduce unlawful, malicious or infringing content; attempt to access another organization’s data; circumvent security measures; decompile, copy or resell the Service; overload its infrastructure through unauthorized automated access. We may suspend access in case of breach, with notice where circumstances allow.
10. Intellectual property
The Service, its code, interface, texts and trademarks belong to Gestion S.G. or its licensors. These terms transfer no rights to the Service other than the intended use. The ROMO standard is published separately under the Creative Commons BY 4.0 licence; its reuse is governed by that licence, and the “ROMO-certified” conformance mark remains reserved to its maintainer. Suggestions you send us may be used to improve the Service, without obligation or compensation.
11. Availability, backups and support
We make reasonable efforts to keep the Service accessible and we perform daily backups of the application database. During beta, the Service is provided “as is” and “as available”: we do not guarantee uninterrupted or error-free operation, nor fitness for a particular purpose. Maintenance interruptions may occur, announced where possible. Support is by email, with no guaranteed response time during beta.
12. Liability
To the extent permitted by law, Gestion S.G. is not liable for indirect, incidental or consequential damages (including loss of revenue, data or business opportunities) arising from the use of or inability to use the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the twelve months preceding the event — that is, during the free period, no fees. Nothing in these terms excludes liability that cannot be excluded under the laws applicable in Québec, nor reduces rights a natural person may hold under the Consumer Protection Act where it applies.
13. Term, termination and exit
- You may stop using the Service, export your data and delete your organization at any time.
- We may terminate your access in case of serious breach of these terms, non-compliance with the inactivity rule (after the conversation provided for), or at the end of the beta phase — in the latter case with at least 30 days’ notice and the ability to export your data before closure.
- Termination does not affect rights and obligations arising before it takes effect.
14. Changes
We may change these terms to reflect the evolution of the Service, our practices or the law. Material changes are communicated by email to organization owners and by a dated note at the top of this page, at least 15 days before they take effect (except for legal or security emergencies). Continued use after that date constitutes acceptance; otherwise, you may leave the Service under section 13.
15. Governing law and language
These terms are governed by the laws applicable in Québec and the laws of Canada applicable therein. Any dispute not settled amicably is submitted to the competent courts of the judicial district of Terrebonne, subject to applicable mandatory rules. The French version prevails; the English version is provided as a courtesy.
